Terms of Service (India)

1. Who we are

StipuloReady is provided by Stipulo AI Ltd, a company registered in England and Wales (company number 17272510), registered office at 128 City Road, London, EC1V 2NX ("we", "us", "our"). These Terms govern your use of StipuloReady (the "Service") for vendors registered in India.

2. The Service

StipuloReady provides a compliance document vault with expiry tracking and reminders, and an AI-assisted tool for drafting responses to tender requirements. You remain responsible for reviewing, editing, and submitting any proposal or document yourself, wherever you choose to bid — the Service never submits anything on your behalf.

3. Accounts

You must provide accurate information when creating an account and keep your login credentials secure. The Service is intended for business use by vendors bidding on tenders; one account per vendor organisation.

4. Free trial and subscriptions

New accounts receive a 7-day free trial with full access to all features. Compliance document storage, expiry tracking, and PDF export remain free after the trial ends. AI-assisted proposal drafting and DOCX export require an active paid subscription once the trial ends. Subscriptions are billed in advance via Stripe and renew automatically until cancelled; Stripe will convert the listed price to Indian Rupees at the prevailing exchange rate at the time of billing. You can cancel at any time from the Billing page.

5. Acceptable use

You agree not to use the Service to upload unlawful content, to misrepresent your company's compliance status or qualifications, or to attempt to interfere with or gain unauthorised access to the Service or other users' accounts.

6. Your content

You retain ownership of the documents, company profile information, and tender text you upload or enter ("Your Content"). You grant us a licence to store, process, and transmit Your Content as needed to provide the Service — including to third-party processors listed in our Privacy Policy, such as our AI provider, for the purpose of generating draft content on your behalf.

7. AI-generated content

Draft proposals are generated by an AI model based on the tender requirements and company information you provide. AI-generated content may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing, verifying, and editing any AI-generated content before relying on it or submitting it anywhere.

8. No verification of compliance or guarantee of outcome

StipuloReady is a document storage, tracking, and drafting tool. We do not verify the authenticity, validity, or accuracy of any document you upload (including GST, MSME/Udyam, or PAN documents), and we do not guarantee that using the Service will result in a successful bid.

9. Intellectual property

The Service itself, including its software, design, and branding, is owned by Stipulo AI Ltd or its licensors.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate accounts that breach these Terms.

11. Disclaimer and limitation of liability

The Service is provided "as is" without warranties of any kind, to the fullest extent permitted by law. To the fullest extent permitted by law, Stipulo AI Ltd's total liability arising out of or relating to the Service will not exceed the amount you paid us in the 12 months before the claim arose.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above.

12. Governing law

⚠️ Explicit open decision, not yet resolved: should these Terms be governed by the laws of England and Wales (simpler — one framework across both regions) or by Indian law with Indian courts having jurisdiction (more locally reassuring/enforceable for Indian vendors, but needs input from an Indian-qualified lawyer)? This section currently mirrors the UK Terms' England & Wales clause as a placeholder only — it is deliberately flagged here rather than silently resolved, matching the same open item ATCMS carried for its own India Terms.
